This Terms of Use is Singapore Wine Vault’s terms of service that governs its relationship with you through your access and/or use of its mobile app and/or website.

1. Acceptance and Modification of the Terms of Use
2. Your access and use of the mobile app and/or website of Singapore Wine Vault (“SWV”), which includes SWV’s affiliated companies, is governed by this Terms of Use. By accessing, browsing and/or using SWV’s mobile app and/or website, you acknowledge that you have read, understood and accepted, without reserve, these Terms of Use, as modified from time to time by SWV.
3. If SWV modifies the Terms of Use, SWV will post the updated version on its mobile app and website. In such an event, SWV will notify you of the updated Terms of Use and will seek your agreement to them.
Copyright and Intellectual Property
1. The content of SWV’s mobile app and website which includes but is not limited to the text, marks, logos, diagrams, photographs, videos, sounds, music, layout, designs, know-how, technologies, products and processes, are the property of SWV or its affiliated companies or are used with the authorisation of its owners, and accordingly are protected by copyright, trademark, patent and all other intellectual property rights which exist under applicable law.
2. Except as provided in clause 3 of this Terms of Use, nothing contained in SWV’s mobile app and/or website shall be interpreted or construed as granting you a license or a right to use any such content for your own personal and/or commercial purposes.
3. You own all of the content and information you post on SWV’s mobile app and/or website. In addition, for content that is covered by intellectual property rights, you specifically grant SWV a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any such content that you post on or in connection with SWV’s mobile app and/or website. This license ends when you delete said content or terminate your use of SWV’s services.
4. When you publish content and/or information, it means that you are allowing everyone, including people who are not using SWV’s mobile app and/or website, to access and use that information and to associate it with you.
5. When you delete your content, such content may persist in backup copies for a reasonable period of time but will not be available to others.
Use of the Mobile App and Website
1. You may download, display or print the content of SWV’s mobile app and/or website solely for your personal, non-commercial use. Any other use, including the reproduction, modification, distribution, transmission, or broadcast of content from SWV’s mobile app and/or website, whether in whole or in part and by any means, is strictly prohibited, except with the prior written consent of SWV,
2. SWV neither warrants nor represents that your use of the content displayed on its mobile app and/or website will not infringe the rights of third parties
Information Deemed Non-Confidential
1. Any personal data and/or information that you may send via the internet to SWV’s mobile app and/or website is treated, stored and used according to SWV’s Privacy Policy. SWV invites you to read its policy carefully before providing them with any such personal data and/or information as your provision of such data and/or information to them signifies your agreement to be bound by its Privacy Policy.
2. Any other information or material communicated to SWV through the internet, by electronic mail or otherwise, including any data, questions, comments, suggestions, ideas, graphics or the like, are and will be treated as non-confidential and non-proprietary. Anything you transmit or post becomes the property of SWV and may be freely used by them for any purpose, including but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Specifically, SWV is free to use any ideas, concepts, know-how, or techniques contained in any such communication you send to its mobile app and/or website for any purpose whatsoever, including but not limited to, developing, manufacturing, advertising and marketing products using such information. Any such use will be made by SWV without compensation to those providing the information, nor anyone else.
3. By submitting such information to SWV, you warrant that you own the material/content submitted, that it is not offensive, defamatory and/or against public policy, and that SWV’s use of the information will not violate any third party’s rights. SWV is under no obligation to use the information provided.
Protection of Other People’s Rights
1. You agree not to post content or take any action on SWV’s mobile app or website that is offensive and/or infringes or violates someone else’s rights and/or otherwise violates the law.
2. You agree not to post any person’s identification documents or sensitive financial and/or personal information on SWV’s mobile app and/or website.
3. SWV reserves the right to remove any content and/or information you post on its mobile app or website if they are of the view that such content and/or information contravenes clauses 5.1 and 5.2 of this Terms of Use.
Storage and Delivery of Wine
SWV’s mobile app and website only facilitates a method by which you may place orders for your wine. The storage and delivery of your wine by SWV is governed by the Singapore Logistics Association’s Standard Trading Conditions 2004 (“the SLASTC”) and the Agreement for Storage/Warehouse Services entered into between SWV and you.
Delivery Orders Made Through The SWV App and/or Website
1. By placing a delivery order through the SWV App and/or Website, you are placing an order with SWV for the delivery of your selected inventory to your designated address.
2. The delivery order that you place through the SWV App and/or Website will not constitute a binding contract between you and SWV unless and until SWV transmits an order confirmation to you by e-mail.
3. All delivery orders made through the SWV App and/or Website are final upon the order confirmation transmitted to you by SWV.
Disclaimer of Warranties
1. All material, information and content that you find on the mobile app and/or website is furnished to you “as is” and without guarantee of any sort, express or implied, including among others, the implied warranty of merchantability, or fitness for any particular purpose.
2. SWV does not guarantee that your use of its mobile app and/or website or its content will correspond to your expectations, be timely, secure and/or free of error and/or interruptions.
3. Any advice or information, be it oral or written, obtained from SWV or during the use of services made available on the mobile app and/or website, shall not give rise to any guarantees which are not expressly provided for in the Terms of Use.
Limitation of Liability
1. You, access, use, browse and navigate SWV’s mobile app and/or website at your own risk and peril
2. Neither SWV, nor any of its affiliated companies, nor any other party involved in creating, producing or delivering SWV’s mobile app and/or website or any of its content, may be held liable for any direct, indirect or consequential damages arising from your or any other party’s use and/or inability to use of the app and/or website and/or the information contained therein.
3. All materials which are downloaded or obtained by any other manner during the use of SWV’s mobile app and/or website are at your own risk and peril. SWV assumes no liability for any damage, virus and/or malware which could affect your computer equipment or other property by reason of your access to, use of or downloading of any material from its mobile app and/or website or for any illegal intrusion or intervention in its IT systems.
4. SWV reserves the right to interrupt or discontinue any or all of the functionality of its mobile app and/or website. SWV accepts no responsibility or liability whatsoever for any interruption or discontinuance of any or all functionality of its mobile app and/or website resulting from actions or omissions of SWV or any third party.
Change of Information
1. SWV reserves the right to make changes, corrections and/or improvements to the content on its mobile app and/or website at any time without prior notice to you.
Links
1. As a service to SWV’s visitors, its mobile app and/or website may contain hypertext links leading to other website that are not operated or controlled by SWV. SWV shall not be responsible for these sites and does not assume responsibility and/or liability in relation to their functions, content, legality, accuracy or functions.
2. The creation of any hyperlink to SWV’s mobile app and/or website is prohibited without its prior written consent of.
Loss of Password
1. SWV does not keep your password in a recoverable form. As such should you ever lose or forget your password, you may request for SWV to issue you with a new password for you to access your account.
2. You may make such a request through the Password Reset Facility available on SWV’s mobile app and website or over the phone with a SWV Customer Service Officer. Upon your request for a new password from SWV, SWV will send a randomly generated password to your designated email address and you will no longer be able to access your account with your old password.
3. After being issued your new password, you are advised to log in with your new password and change your new password through the Password Change Facility available on SWV’s mobile app and website.
Miscellaneous
1. This Terms of Use embodies the entire agreement between SWV and you concerning the access and use of its mobile app and/or website and their content. Any other terms or conditions issued by SWV and governing its relations with you, in particular relating to any service or purchase of product, shall supplement the Terms of Use.
2. The fact that SWV tolerates a violation by you of one of the obligations set out in the Terms of Use, or does not enforce a right attributed to it thereunder or under the law shall not be construed as a waiver of its rights.
3. In the event that any provision or the Terms of Use or part thereof is considered to be illegal by law or regulation, existing or future, or by a Court ruling, then such provision shall be considered as stricken, all other provisions of the Terms of Use maintaining full force and effect between yourself and SWV.
4. Unless expressly provided to the contrary in this Terms of Use, a person who is not party to this agreement has no right under the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore to enforce or to enjoy the benefit of any term of this Terms of Use.
5. In the event of any conflict between this Terms of Use and the SLASTC or any other terms and conditions and/or agreements now existing or hereafter entered into between SWV and you, the terms of this Terms of Use shall prevail.
6. The headings of the Terms of Use are for convenience alone and shall not alter or modify the terms and conditions in any manner.
7. You agree that the Courts of Singapore have exclusive jurisdiction to settle any dispute arising out of or in connection with your use of SWV’s mobile app and/or website.
